Who We Are
The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

Branch Overview
The Governance & Tribunal Secretariat is a governance and advisory branch of the Ontario Securities Commission that provides legal advice, support, and education to the Commission’s Board Directors and, separately, to the Capital Markets Tribunal’s Adjudicators. The Secretariat administers the OSC’s governance framework and Capital Markets Tribunal.
The Commission regulates Ontario’s capital markets by making rules that have the force of law and by adopting policies that influence the behaviour of capital markets participants.
The Tribunal is an independent division of the Commission established by the Securities Commission Act, 2021. The Tribunal is the administrative tribunal that is assigned the power to conduct hearings under the Ontario Securities Act and the Commodity Futures Act and to independently determine all questions of fact or law in any proceeding before it under those Acts.
Your work may include:
being involved in all aspects of the hearing process
providing counsel to Adjudicators, which may include reviewing submissions, preparing legal memoranda, providing legal research and drafting assistance and giving legal advice on procedural and substantive matters, as required
identifying, and making recommendations on, adjudicative policy and procedural matters of a general nature for consideration by the Tribunal
providing governance legal advice and support to the Board of Directors or a standing or special committee of the Board
developing and advancing governance policy and initiatives
facilitating regulatory decision-making by the Board
being an active member of a policy team that supports the Tribunal and the Board
As an ideal candidate, you have:
membership in good standing with the Law Society of Ontario
a minimum of 5 years of relevant litigation and securities experience
previous experience as counsel to an administrative tribunal (considered a significant asset)
strong knowledge of the securities industry, Ontario securities law, the Statutory Powers Procedure Act, the Commission’s Rules of Procedure and principles of administrative law and evidence
previous experience providing legal governance advice
excellent oral and written communication skills and the ability to conduct legal research efficiently and independently
fluency in both French and English (an asset)
